The Resource Key Consulting Services Agreement
This Consulting Services Agreement (“Agreement”) is entered into by and between The Resource Key, LLC, a Virginia limited liability company (“Resource Key”), and any individual or entity purchasing Resource Key’s services (“Client”). By purchasing Resource Key’s services online, Client agrees to the terms outlined below.
1. Effective Date
This Agreement becomes effective on the date the Client purchases the Services (“Effective Date”).
2. Services
Resource Key agrees to provide consulting services to Client as outlined during the engagement process (the "Services"). These services may include, but are not limited to, marketing strategies, brand consultation, or any other services offered by Resource Key.
3. Payment Terms
Client agrees to pay all fees for Services as specified during the checkout or engagement process. Payments are due at the time of purchase unless otherwise stated. Client is responsible for all applicable taxes.
4. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. Confidential information will not include information that is publicly available or becomes public through no fault of the receiving party.
5. Limitation of Liability
Resource Key’s liability for any claims arising from this Agreement is limited to the total amount paid by Client for the Services. Resource Key is not responsible for indirect, consequential, or punitive damages.
6. Termination
This Agreement may be terminated by either party with 30 days' written notice. Client remains responsible for payment of all Services rendered prior to termination. Resource Key may terminate immediately for non-payment or breach of this Agreement.
7. Independent Contractor
Resource Key operates as an independent contractor. This Agreement does not create any agency, partnership, or joint venture between the parties.
8. Governing Law
This Agreement is governed by the laws of the Commonwealth of Virginia. Any disputes will be resolved in the courts of Arlington County, Virginia.
9. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements. Any modifications must be in writing and agreed upon by both parties.
