THE RESOURCE KEY, LLC
Terms and Conditions, Participation Agreement, Code of Conduct, and Media Release
(Applies to Online Offerings, In-Person Events, Coaching, and Digital Products)

This Terms and Conditions, Participation Agreement, Code of Conduct, and Media Release (“Agreement”) is entered into by and between The Resource Key, LLC, a Virginia limited liability company with a business address of 2200 N George Mason Dr. #7644, Arlington, VA 22207 (“Resource Key,” “we,” “us,” or “our”), and any individual or entity that purchases, registers for, or otherwise participates in any offering of Resource Key, including but not limited to eBooks and digital products, online tools and templates, virtual workshops, webinars, or challenges, live in-person workshops, masterclasses, retreats, networking events, one-on-one or group coaching, consulting engagements, and any other product or service we make available (collectively, the “Offerings,” and each a “Client,” “you,” or “your”).
By purchasing, registering for, checking in to, or otherwise participating in any Offering — online or in person — you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety, including the liability release and assumption of risk provisions in Section 10. If you do not agree, do not purchase, register for, or attend any Offering.
1. Effective Date
This Agreement becomes effective on the date you complete purchase or registration for any Offering, or, if earlier, the date you check in to or begin participating in an Offering (the “Effective Date”).
2. Scope of Offerings
Resource Key provides a variety of consulting, educational, and community products and services, including but not limited to:
• eBooks, guides, templates, and other downloadable digital resources;
• Online tools, courses, and educational content, including The Convert Method and related programs;
• Live virtual workshops, webinars, masterclasses, and multi-day challenges delivered via video conferencing or community platforms;
• Live, in-person workshops, retreats, masterminds, networking events, and speaking engagements, which may be hosted at Resource Key’s own space or at third-party venues such as coffee shops, cafes, florists and floral design studios, immersive/experiential spaces, coworking spaces, hotels, conference centers, or other public or private locations (each, a “Third-Party Venue”); and
• One-on-one or group coaching and consulting engagements, delivered online, by phone, or in person.
The specific format, location, features, and delivery method of each Offering will be described at the time of purchase or registration. Resource Key reserves the right to modify the date, time, format, instructor, or venue of any Offering, and to cancel, reschedule, remove a participant from, or deny access to any Offering, with or without refund as set out in Section 4, including where a participant violates the Code of Conduct in Section 8.
3. No Guarantee of Results
YOU ACKNOWLEDGE AND AGREE THAT RESOURCE KEY MAKES NO GUARANTEE, WARRANTY, OR PROMISE — EXPRESS OR IMPLIED — REGARDING ANY SPECIFIC RESULTS, OUTCOMES, REVENUE, FUNDING, CONVERSION RATES, CLIENT ACQUISITION, OR BUSINESS PERFORMANCE FROM YOUR PARTICIPATION IN ANY OFFERING.
The strategies, frameworks (including The Convert Method), templates, and guidance we provide are educational and informational in nature. Results discussed in case studies, testimonials, marketing materials, or during any Offering — including any reference to funding secured or professionals reached by past clients — reflect the experiences of specific individuals or organizations under specific circumstances and are not typical, guaranteed, or predictive of your results.
Your outcomes depend on numerous factors outside of Resource Key’s control, including your industry, market conditions, effort, implementation, existing resources, timing, and the decisions of third parties (such as funders, partners, or customers). You are solely responsible for evaluating and implementing any information provided, and for the business, financial, or other decisions you make in reliance on it.
4. Payment, Refunds, and Cancellations
You agree to pay the fee specified at checkout or registration. All payments are due in full at the time of purchase unless a payment plan is expressly offered and agreed to in writing, in which case you remain liable for the full fee regardless of your continued participation. You are responsible for any applicable taxes.
Unless a specific Offering’s registration page states otherwise in writing, all sales are final and non-refundable, including for digital products (which are delivered immediately upon purchase), live workshops, retreats, and coaching engagements. If an in-person event must be cancelled or relocated due to a Third-Party Venue’s unavailability, weather, or other circumstances beyond Resource Key’s reasonable control, Resource Key will make reasonable efforts to reschedule or provide a virtual alternative, but is not obligated to issue a refund.
5. Access and Delivery
5.1 Digital Products
eBooks, templates, and other digital downloads will be delivered via email or a secure link following payment.
5.2 Online Offerings
Live virtual Offerings will be delivered through video conferencing platforms, community portals, or other channels specified by Resource Key. You are responsible for having the technology and internet access necessary to participate (see Section 9). Resource Key is not liable for technical issues on your end, on the platform provider’s end, or arising from internet outages that affect your access.
5.3 In-Person Offerings
For in-person Offerings, the specific venue, address, arrival time, and any venue-specific rules (such as parking, dress code, or purchase minimums at a hosting business) will be provided prior to the event. You are responsible for arranging your own transportation, accommodations, and timely arrival. Resource Key is not responsible for a Third-Party Venue’s hours, availability, accessibility, or any changes the venue makes on short notice.
6. Intellectual Property
All Offerings — including eBooks, digital content, The Convert Method framework and materials, templates, presentations, slide decks, workbooks, and recordings of live sessions — are the intellectual property of Resource Key or its licensors. You receive a limited, non-exclusive, non-transferable license to use these materials for your own internal business use only.
You agree that you will not, without Resource Key’s prior written consent: (a) share, copy, distribute, resell, or repost any Offering materials, recordings, or access links; (b) teach, repackage, or present the Convert Method or any other Resource Key framework, in whole or substantial part, as your own material or as part of your own product or service offered for sale; or (c) allow anyone who has not purchased the applicable Offering to access it through you.
7. Confidentiality
During certain Offerings (such as coaching, consulting, and masterminds), you may have access to Resource Key’s proprietary business methods as well as other participants’ business information shared in the course of group discussion. You agree to keep confidential any non-public information shared by Resource Key or by other participants during an Offering, and not to use it for any purpose other than your own participation, unless the disclosing party gives written permission or the information is already public.
8. Code of Conduct
To keep every Offering safe, respectful, and productive for all participants, you agree to:
• Treat Resource Key staff, contractors, coaches, and other participants with courtesy and respect, and refrain from harassing, discriminatory, threatening, or abusive conduct, whether online or in person;
• Follow the reasonable instructions of Resource Key staff and, at Third-Party Venues, the instructions and posted rules of the venue and its staff;
• Refrain from recording, photographing, or livestreaming any Offering, or any other participant, without Resource Key’s prior permission (Resource Key’s own recording of Offerings is addressed in Section 11);
• Refrain from soliciting, selling to, or recruiting other participants for your own competing products or services, and from directly messaging or contacting other participants for solicitation purposes without their consent;
• Not share private access links, login credentials, community content, or recordings with anyone who has not purchased the applicable Offering;
• Attend live sessions as scheduled, or rely on any replay Resource Key elects to provide, and understand that replays are offered at Resource Key’s discretion and are not guaranteed for every Offering;
• At in-person events, comply with the policies of the hosting Third-Party Venue (for example, purchase minimums at a cafe, or handling instructions at a florist or studio space), and treat the venue’s property, staff, and other patrons with care and respect; and
• Not attend, or continue to attend, any in-person Offering while under the influence of alcohol or drugs to a degree that impairs your ability to safely participate, except where alcohol is knowingly served as part of the Offering and consumed responsibly.
Resource Key may, in its sole discretion, remove any participant from an Offering — online or in person — who violates this Code of Conduct, without refund, and may deny that individual access to future Offerings.
9. Technology & Accessibility
You are responsible for having access to the technology needed to participate in online Offerings (e.g., a reliable internet connection, compatible device, and any required software or accounts). Resource Key is not liable for any interruption, delay, or inability to access an Offering caused by technology on your end, a third-party platform, or forces outside Resource Key’s control.
10. In-Person Events: Assumption of Risk, Release of Liability, and Indemnification
10.1 Assumption of Risk
You understand that in-person Offerings take place at Third-Party Venues that Resource Key does not own, operate, or control, and that attending and participating in any in-person Offering involves inherent risks, including but not limited to: physical injury from movement, equipment, décor, or activities at the venue; slips, trips, or falls; exposure to food, beverages, flowers, plants, or materials that may trigger allergies or sensitivities; property damage or loss, including theft; illness, including communicable illness, from being in a group setting; incidents involving other attendees or members of the public at the venue; and risks arising from the venue’s own premises, equipment, staff, or operations.
You voluntarily assume full responsibility for any and all risks of injury, illness, death, or property damage arising out of or related to your attendance at or participation in any in-person Offering, whether arising before, during, or after the scheduled event.
10.2 Release of Liability
To the fullest extent permitted by law, you release, waive, discharge, and covenant not to sue Resource Key, its owners, members, employees, contractors, coaches, and agents, and each hosting Third-Party Venue and its owners, operators, and staff (collectively, the “Released Parties”), from any and all liability, claims, demands, actions, or causes of action whatsoever arising out of or related to any loss, damage, injury, or death that may be sustained by you, or to any property belonging to you, while participating in an in-person Offering, while on or about the premises where the Offering is held, or while traveling to or from that venue — except to the extent caused by a Released Party’s gross negligence, willful misconduct, or intentional wrongdoing.
This release is intended to be as broad and inclusive as permitted under the laws of the Commonwealth of Virginia. If any portion of this release is held invalid or unenforceable, the remainder shall continue in full force and effect.
10.3 Indemnification
You agree to indemnify and hold harmless the Released Parties from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your own negligent or intentional acts or omissions during an in-person Offering, including any injury or damage you cause to another participant, a Third-Party Venue, or its property.
10.4 No Insurance Provided; Medical Emergencies
Resource Key does not provide medical, accident, or liability insurance covering participants at in-person Offerings. You are encouraged to maintain your own health and property insurance. In the event of an injury or medical emergency during an in-person Offering, you authorize Resource Key staff to call emergency medical services and to share necessary information with responders; you remain responsible for any resulting medical costs.
10.5 Third-Party Venue Terms
Third-Party Venues may have their own terms, house rules, purchase requirements, or waivers. Where a venue requires its own waiver or agreement, you agree to comply with it in addition to this Agreement. Resource Key is not responsible for a Third-Party Venue’s acts, omissions, negligence, staff conduct, premises conditions, or business practices, and this Agreement does not make Resource Key an agent, partner, or guarantor of any Third-Party Venue.
10.6 Minors
In-person Offerings are intended for participants 18 years of age or older unless a specific Offering is expressly advertised as open to minors. Where a minor is permitted to attend, a parent or legal guardian must sign this Agreement, including the release in Section 10.2, on the minor’s behalf before the minor may participate.
11. Media Release and Recording Consent
Online and in-person Offerings may be recorded, photographed, livestreamed, or otherwise captured by Resource Key or its contractors. By participating in any Offering, you consent to being recorded, photographed, and/or livestreamed, and you grant Resource Key a non-exclusive, worldwide, royalty-free, perpetual license to use your name, voice, image, likeness, and any comments or contributions you make (“Your Content”) in connection with Resource Key’s marketing, training, promotional materials, social media, website, and future Offerings, in any media now known or later developed, without additional compensation to you.
If you do not want to be recorded or photographed, or do not want Your Content used for marketing purposes, you must notify Resource Key in writing before the applicable Offering begins; Resource Key will make reasonable efforts to seat you or frame recordings to exclude you, but cannot guarantee exclusion from incidental crowd or venue shots at in-person events.
11.1 Testimonials
If you provide a testimonial, review, or positive comment about Resource Key — whether directly, on a public social media profile, or in an email — you agree that Resource Key may publish and use that content, along with your name, title, company, and photo, as a testimonial on its website, social media, advertisements, and other marketing channels. No additional payment or compensation will be provided for use of a testimonial, and you grant Resource Key an irrevocable, perpetual license to use, edit for length or clarity, publish, and repost it.
12. Disclaimers
All Offerings are provided for educational, informational, and general business-consulting purposes only. They do not constitute medical, psychological, legal, tax, or financial advice, and nothing in an Offering creates a professional relationship other than the consulting relationship expressly described in a separate signed statement of work, where applicable. Any advice or guidance reflects the opinions and experience of Resource Key and is subject to professional differences of opinion and potential error; you are responsible for independently verifying its accuracy, completeness, and suitability to your own circumstances before relying on it.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RESOURCE KEY’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO ANY OFFERING OR THIS AGREEMENT — WHETHER IN CONTRACT, TORT, OR OTHERWISE — IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID RESOURCE KEY FOR THE OFFERING GIVING RISE TO THE CLAIM. RESOURCE KEY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
14. Force Majeure
Resource Key is not liable for any failure or delay in performance caused by events beyond its reasonable control, including venue closures, extreme weather, acts of God, public health emergencies, government orders, power or internet outages, or third-party platform failures.
15. Privacy
Resource Key’s collection and use of your personal information, including information collected at in-person events (such as sign-in information or event photos) and through online Offerings, is described in Resource Key’s Privacy Policy, available at https://theresourcekey.com/, which is incorporated into this Agreement by reference.
16. Governing Law and Disputes
This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any dispute arising out of or relating to this Agreement or any Offering shall be resolved exclusively in the state or federal courts located in Arlington County, Virginia, and you consent to the personal jurisdiction of those courts.
17. General Provisions
• Entire Agreement. This Agreement, together with any registration page, statement of work, or Third-Party Venue rules referenced above, is the entire agreement between you and Resource Key regarding the applicable Offering and supersedes any prior discussions or agreements on the subject.
• Amendments. Resource Key may update this Agreement from time to time; the version in effect at the time of your purchase or registration governs that Offering, and continued participation in an ongoing Offering after notice of a material change constitutes acceptance.
• Severability. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be interpreted to best accomplish its intent within the bounds of applicable law.
• No Waiver. Resource Key’s failure to enforce any provision of this Agreement is not a waiver of its right to do so later.
• Assignment. Resource Key may assign this Agreement in connection with a merger, acquisition, or sale of assets. You may not assign this Agreement without Resource Key’s written consent.
• No Third-Party Beneficiaries, except that each Released Party under Section 10.2 may enforce that section as an intended third-party beneficiary.
18. Acknowledgment
BY PURCHASING, REGISTERING FOR, OR PARTICIPATING IN ANY OFFERING — ONLINE OR IN PERSON — YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND VOLUNTARILY AGREE TO BE BOUND BY IT, INCLUDING THE ASSUMPTION OF RISK, RELEASE OF LIABILITY, INDEMNIFICATION, AND MEDIA RELEASE PROVISIONS ABOVE.
